1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and Connect eSIM ("Company," "we," "us," or "our") governing your use of our eSIM telecommunications services, website, mobile applications, and related services (collectively, the "Services").

By creating an account, purchasing services, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Services.

Age Requirement: You must be at least 18 years old to use our Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Service Description

Connect eSIM provides mobile virtual network operator (MVNO) services, including but not limited to:

2.1 Core Services

  • eSIM Profile Provisioning: Digital SIM card activation and management
  • US Phone Number Assignment: Dedicated US telephone numbers with full functionality
  • Voice Services: Domestic and international voice calling capabilities
  • SMS/MMS Services: Text and multimedia messaging services
  • Data Connectivity: Mobile data services on participating carrier networks
  • Number Portability: Subject to regulatory requirements and technical limitations

2.2 Service Features

  • • Pay-as-you-go billing model with no long-term contracts
  • • Real-time usage monitoring and account management
  • • Multi-device support for compatible eSIM-enabled devices
  • • International roaming capabilities (where available)
  • • Customer support and technical assistance

2.3 Service Limitations

Our Services are subject to network coverage limitations, device compatibility requirements, and regulatory restrictions. We do not guarantee uninterrupted service availability and may experience outages due to maintenance, network issues, or force majeure events.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • • Maintaining the accuracy of your account information
  • • Safeguarding your account credentials and access information
  • • Notifying us immediately of any unauthorized access or security breaches
  • • All activities that occur under your account

3.2 Identity Verification

We may require identity verification to comply with telecommunications regulations, prevent fraud, and ensure service security. This may include:

  • • Government-issued identification documents
  • • Address verification documents
  • • Additional documentation as required by law

3.3 Account Termination

You may terminate your account at any time through our customer portal or by contacting customer support. We may terminate or suspend your account for violations of these Terms, fraudulent activity, or as required by law, with or without notice.

4. Pricing, Billing, and Payment Terms

4.1 Service Fees

Our Services operate on a pay-as-you-go model with the following fee structure:

  • Initial Setup Fee: $10.00 (includes US phone number assignment and $10.00 account credit)
  • Monthly Maintenance Fee: $0.99 per month (to maintain active phone number)
  • Usage-Based Charges: Per-minute voice calls, per-message SMS/MMS, per-MB data usage
  • Additional Services: Premium features, international roaming, number porting (fees as applicable)

4.2 Billing and Payments

  • Prepaid Model: All services require sufficient account balance before usage
  • Payment Methods: Credit cards, PayPal, cryptocurrency, and other approved payment methods
  • Currency: All fees quoted and charged in US Dollars (USD)
  • Billing Frequency: Real-time usage deductions, monthly maintenance fees
  • Auto-Replenishment: Optional automatic top-up when balance reaches specified threshold

4.3 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated via email and/or account notifications at least 30 days before taking effect. Continued use of Services after price changes constitutes acceptance of the new rates.

4.4 Refunds and Disputes

  • • Account credits are generally non-refundable except as required by law
  • • Refunds may be provided for unused services due to technical failures or service interruptions
  • • Payment disputes must be reported within 60 days of the transaction
  • • Chargebacks or payment reversals may result in account suspension

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. Permitted uses include personal and business communications, legitimate commercial activities, and other lawful purposes.

5.2 Prohibited Activities

You agree not to use our Services for any of the following prohibited activities:

  • Illegal Activities: Any activity that violates local, state, federal, or international laws
  • Fraud and Abuse: Creating fake accounts, payment fraud, identity theft, or other deceptive practices
  • Spam and Unsolicited Communications: Sending bulk SMS, robocalls, or other unsolicited communications
  • Network Abuse: Activities that degrade network performance or interfere with other users' services
  • Harmful Content: Transmitting malware, viruses, or other malicious code
  • Harassment and Abuse: Using Services to harass, threaten, or abuse others
  • Intellectual Property Violations: Infringing on copyrights, trademarks, or other intellectual property rights
  • Emergency Services Abuse: Making false emergency calls or misusing emergency services

5.3 Usage Monitoring

We monitor network usage to ensure service quality, prevent abuse, and comply with legal obligations. Excessive usage that impacts network performance may result in service limitations or additional charges.

5.4 Enforcement

Violations of this Acceptable Use Policy may result in service suspension, account termination, additional charges, or legal action. We reserve the right to investigate suspected violations and cooperate with law enforcement as required.

6. Service Availability and Performance

6.1 Network Coverage

Our Services operate on third-party carrier networks. Service availability and quality depend on network coverage, device compatibility, and network conditions. Coverage maps and service availability information are provided for reference only and do not constitute a guarantee of service.

6.2 Service Interruptions

Services may be temporarily unavailable due to:

  • • Scheduled maintenance and network upgrades
  • • Emergency maintenance and repairs
  • • Network congestion or technical difficulties
  • • Force majeure events (natural disasters, power outages, etc.)
  • • Regulatory requirements or legal orders

6.3 Service Level Expectations

While we strive to provide reliable service, we do not guarantee specific performance metrics, uptime percentages, or service availability. Our Services are provided on an "as available" basis.

6.4 Emergency Services

Important Notice: Our Services may have limitations with emergency services (911 in the US). Emergency calls may not provide accurate location information to emergency responders. We recommend maintaining alternative means of contacting emergency services, especially when traveling or using our Services in unfamiliar locations.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our privacy practices as described in our Privacy Policy.

We may collect and process telecommunications data as required to provide Services and comply with legal obligations. This includes call detail records, message metadata, data usage information, and location data.

We implement appropriate technical and organizational measures to protect your personal information but cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account information and for all activities under your account.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content, features, functionality, and intellectual property related to our Services, including but not limited to text, graphics, logos, software, and trademarks, are owned by Connect eSIM or our licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use our Services for their intended purposes. This license does not include any right to:

  • • Modify, distribute, or create derivative works of our Services
  • • Reverse engineer or attempt to discover source code
  • • Use our trademarks or branding without permission
  • • Sublicense or transfer your rights to others

8.3 User Content

You retain ownership of content you transmit through our Services. However, you grant us a limited license to process, store, and transmit your content as necessary to provide Services. You are responsible for ensuring you have rights to transmit any content through our Services.

9. Disclaimers and Limitations of Liability

9.1 Service Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any information provided through our Services.

9.2 Limitation of Liability

To the maximum extent permitted by law, Connect eSIM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Services.

Our total liability to you for all claims arising from or relating to these Terms or our Services shall not exceed the amount you paid to us in the 12 months preceding the event giving rise to the liability, or $100, whichever is greater.

9.3 Third Party Services

Our Services may integrate with or depend on third-party services, including carrier networks, payment processors, and other service providers. We are not responsible for the availability, functionality, or actions of third-party services.

10. Indemnification

You agree to indemnify, defend, and hold harmless Connect eSIM, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or relating to:

  • • Your use or misuse of our Services
  • • Your violation of these Terms or applicable laws
  • • Your violation of any third-party rights
  • • Content you transmit through our Services
  • • Your negligent or intentional actions or omissions

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms and any disputes arising from or relating to our Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

11.2 Dispute Resolution Process

Before initiating any legal proceedings, we encourage you to contact us to resolve disputes informally:

  • Step 1: Contact customer support at support@connect-esim.com
  • Step 2: Allow 30 days for informal resolution attempts
  • Step 3: If unresolved, proceed to formal dispute resolution

11.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration proceedings shall be conducted in English and shall take place in Delaware, United States, or via online/remote proceedings.

11.4 Class Action Waiver

You agree that any disputes shall be resolved on an individual basis and not as part of a class action, collective action, or representative proceeding. This waiver applies to the maximum extent permitted by law.

12. Regulatory Compliance

12.1 Telecommunications Regulations

Our Services are subject to various federal, state, and local telecommunications regulations. We comply with applicable regulations including FCC requirements for telecommunications service providers, emergency services obligations, and accessibility standards.

12.2 International Compliance

When providing international services or serving international customers, we comply with applicable international telecommunications agreements, data protection regulations (including GDPR), and export control laws.

12.3 Law Enforcement Cooperation

We cooperate with law enforcement agencies as required by law and may disclose customer information in response to valid legal process, including subpoenas, court orders, and emergency situations involving public safety.

13. Modifications to Terms

We may modify these Terms at any time to reflect changes in our Services, legal requirements, or business practices. When we make changes:

  • • We will post the updated Terms on our website
  • • We will update the "Last Updated" date
  • • For material changes, we will provide 30 days' notice via email or account notification
  • • Continued use of Services after changes become effective constitutes acceptance

If you do not agree to modified Terms, you must discontinue use of our Services and may terminate your account.

14. Severability and Entire Agreement

14.1 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.

14.2 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific Services, constitute the entire agreement between you and Connect eSIM regarding our Services and supersede all prior agreements and understandings.

14.3 Assignment

We may assign these Terms or our rights and obligations hereunder to any third party without your consent. You may not assign these Terms or your rights and obligations without our prior written consent.
